Ms. Clifford has significant experience in public company accounting and financial matters. She was responsible for timely and accurate Securities Exchange Commission (“SEC”) filings and successful financial audits for fifteen years managing the functions of IT and HR as well as all accounting functions. The company at which she was most recently employed, Pernix Therapeutics Holdings, Inc. (“Pernix”) was initially a publicly traded real estate investment trust (“REIT”), Golf Trust of America, Inc. (“GTA”) which became a resort and golf course operations company. At the shareholders election, GTA entered in to a plan of liquidation during which, Ms. Clifford participated in the marketing, sale and transition of the operations of forty-two golf course properties. Following the sale of these assets, Ms. Clifford worked with GTA’s CEO to execute a successful reverse merger with a privately held pharmaceutical company. She was then appointed Principal Accounting Officer of this new public pharmaceutical company, Pernix. She was a key member of the executive management team and participated in the Board and Audit Committee meetings. During her tenure, Pernix executed several business combinations, purchasing three companies and acquiring several additional products, substantially expanding its corporate structure and product portfolio and more than doubling its employee base. In addition, Ms. Clifford played a critical role in several capital raises as well as successfully negotiating a cost-effective revolving credit facility for Pernix as well as managing on-going covenant compliance with Pernix’s lenders.Prior to this role, Ms. Clifford was the Finance Director at UnitedHealthcare of Georgia and was a key member of the team that launched the Plan’s managed Medicare plan. Before Ms. Clifford spent four years in the health insurance industry, she was the Manager of Accounting at the North Broward Hospital District where she was promoted from Senior Accountant. Ms. Clifford started her career on the health care team of Deloitte & Touche in Miami, Florida where she was on the audit team for several hospitals and other healthcare related clients. Ms. Clifford obtained a Bachelor of Science Degree in Accounting from the College of Charleston and a Master’s Degree in Business Administration with a concentration in Finance from Georgia State University. Ms. Clifford is a licensed CPA in the state of South Carolina and holds a Certification in the Fundamentals of Forensic Accounting from the AICPA. She is a member of the American Institute of Certified Public Accountants and the Charleston CFO Council. She also serves as a member of the adjunct faculty in the Finance Department at the College of Charleston. Ms. Clifford actively volunteers at the Dream Center in North Charleston in various capacities, participates in the Annual Beach Sweep every year, and is involved from time to time in various other charitable organizations and fund raising efforts.
